Purchase Agreement

 

 

Agreement between you (“Customer”) and Zetlands Design LLC, doing business as Wilson Studio, regarding wilsonstudiola.com.

Welcome to wilsonstudiola.com. The wilsonstudiola.com website (the "Site") is comprised of various web pages operated by Zetlands Design LLC dba Wilson Studio. ("Wilson," “we,” “our,” “us”). The Site is offered to you conditioned on your acceptance without modification of the terms of the agreement contained herein (the "Purchase Agreement"). Your purchase of a product from the Site constitutes your agreement to all terms of this Purchase Agreement. Please read these terms carefully and keep a copy of them for your reference

Payment

When you place an order on the Site, your credit or debit card is initially authorized (not charged) to ensure funds for the order are available. You will be charged when your order, or a portion of your order, has shipped. You will only be charged for the items that are shipped, along with applicable shipping and tax rates.

The prices displayed on the Site are quoted in U.S. dollars and all Customers must tender payment in U.S. dollars regardless of the Customer’s location. Such prices do not include shipping and handling or sales taxes, if applicable, which will be added to your total invoice price. You are responsible for the payment of any shipping and handling charges and state and local sales or use taxes that may apply to your order.

Wilson’s Limited Warranty

Wilson warrants to you, the original buyer, that Wilson’s products shall be free of all defects in workmanship and materials for one year, from the date of the original purchase (the “Warranty”). This Warranty applies under condition of normal household use, but does not apply to damage or defects that result from negligence, misuse, abnormal use, accident, commercial use, normal wear and tear (including but not limited to burns, cuts, scratches, tears, scuffs, watermarks, indentations or pet damage), color fading due to normal wear and tear, abuse, improper cleaning (including but not limited to the use of detergents, abrasives or other harsh cleaning agents), alteration to the finish, design or hardware of the product, repairs by unauthorized personnel or other causes not arising out of defects in materials or workmanship. Improper handling after product is received or from exposure to weather is not covered by the Warranty. Nor shall Wilson be liable for damages to equipment or personal injury caused by misuse, overload, accidental damage, alteration, improper installation of the products. Under no circumstances will Wilson be responsible for consequential damages due to the failure of our product to perform properly.

Warranty Disclaimer

Any product modification that is not authorized by Wilson will void this warranty. This limited warranty is non-transferable. THE REPAIR OR REPLACEMENT OF DEFECTIVE GOODS CONSTITUTES W’S ENTIRE OBLIGATION. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WILSON WILL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES, EVEN IF IT HAS REASON TO KNOW IN ADVANCE THAT THEY ARE POSSIBLE. Wilson shall in no event be liable for incidental or consequential damages. All claims for Wilson’s failure to comply with this warranty shall be governed by the provisions of this paragraph. To obtain proper service under this warranty, the original purchase receipt should be kept. 

Wilson reserves the right to inspect products before a repair or replacement is deemed necessary. The customer is responsible for any shipping cost incurred in sending the product back to our manufacturing facility for inspection. Upon receipt and approval of a warranty claim, Wilson will pay shipping fees to return the product to the customer.

This warranty gives you specific legal rights, and you may have other rights that vary from state to state. Some states do not allow the exclusion of implied warranties or the limitation of damages, so the above exclusions and limitations may not apply to you. In the event the warranty exclusions do not apply to you, then, where legally permissible, such implied warranties are limited in duration to the stated warranty period and no warranties apply after that period. In circumstances in which the warranty provided herein does not apply, the products involved are, where legally permissible, still subject to the above disclaimer of implied warranties and the above limitation of damages. Wilson does not authorize anyone to create for it any other warranty, obligations, or liability in connection with its products 

Returns

We do not accept returns at this time. Due to the unique handmade nature of the products, all sales are final. 

Damaged Items

You have 48 hours from receipt of a product to claim any damages. Please examine the exterior condition of the parcel(s) before accepting delivery. Should you receive a package in a damaged condition, please take photos documenting the damage before opening the box. After opening the box, should the product be damaged, take photos and report the issue by email at info@wilsonstudiola.com. If packing materials have been discarded, insurance claims cannot be processed and Wilson will not be liable for the cost of repairs or replacement. Claims submitted after 48 hours will not be honored. Wilson is not responsible for damage caused by improper cleaning, improper installation or for any cost of removal or re-installation.

Cancellations

Customer can cancel up to 24 hours after the order is placed. Please notify us by email at info@wilsonstudiola.com and our customer support team will send you a cancellation form. Cancellations are not guaranteed until you receive an email confirmation. All credits are refunded in the same form of payment in which they were received. A full refund can be expected within 10 business days of cancellation. 

Changes to Orders

Customer can make changes to an order up to 24 hours after order is placed. Please notify us by email at info@wilsonstudiola.com and indicate the change you would like to make to your order. Wilson does not guarantee that all requests for changes can be accommodated. 

Availability

Please understand that many of our items are offered in limited quantities and, because of their limited availability, stock will not and cannot be refreshed. That means once an item is gone, it may be gone for good and not appear on the website again. When an item featured on the Site is no longer in stock, we make every attempt to remove that item from the Site in a timely manner. On occasion, you may be able to place a product in your shopping cart and submit your order for processing, but your order is subsequently cancelled due to unavailability of product. You acknowledge that products may sell quickly and there may be a short period of time after an order has been submitted, but where the product is no longer available. You agree that we may cancel your order after you have received an order confirmation, without penalty. Should you have any questions concerning the availability of a particular item, please contact us.

Privacy Policy

Your purchasing of a product from the Site is subject to Wilson’s Privacy Policy. Please review our Privacy Policy, which is hereby incorporated by reference in its entirety. Product Description Disclaimer

Wilson works with the finest craftsmen from all over the world. Our pieces are handcrafted and use all-natural materials which result in minor variations in color, shape, size and/or finish. All fabrics have natural variations. These variations add to the artistic nature of the items that we sell and are in no way considered defects in the manufacturing process. We display as accurately as possible the colors of our products that appear on the Site. However, the items that you receive may vary slightly from photographs of the items on the Site. Color representations on computer screens can be different based on settings and various display technologies and we cannot guarantee that your monitor's display of any color will be accurate. You agree that you cannot dispute the finish, color, texture, or any other physical attribute of your purchase after taking delivery of the product.

Your Wilson Mirror at Home

Please remove the white paper from the front of your mirror when it arrives.  If the white paper is left on for too long, it can damage the acrylic. Our mirrors like room temperature and low humidity!  Please do not leave the mirrors in extreme temperatures (hot or cold). Do not place your mirror on rough or uneven surfaces that can scrape the bottom of the upholstered frame. 

Mirror Hanging Instructions

  • Wilson’s Mirrors are designed to lean against a wall; the hardware required to hang Wilson’s mirrors is not included with purchase. 

  • If you choose to hang a Wilson mirror, we recommend using a professional to attach the proper hardware and hang the mirror.   • Disclaimer: items not properly anchored pose a potential safety risk. Should the customer choose to hang Wilson’s mirrors, Wilson highly recommends that the customer hire a professional to ensure the product is installed in a safe and correct manner. 

  • Disclaimer: All mirrors not hung on a wall should be leaned at an angle against a wall to ensure stability of the product. Improper placement of a mirror can lead to damage to the product or personal injury. 

  • Disclaimer: Though Zetlends’ mirrors are designed to lean against a wall, choosing to do so can lead to a greater risk of damage to the product or person due to earthquakes, slick flooring, collisions or other disturbances. Securing the mirrors in place may mitigate said risks.

  • Disclaimer: Wilson is not liable for damage to equipment, the product or for personal injury caused by misuse, overload, accidental damage, alteration, or improper installation of the products.

Acrylic Mirror Care

  • Acrylic is not impenetrable and can be scratched.

  • We recommend using NOVUS Plastic Polish. We include a 2oz bottle of Novus Clean & Shine and a microfilament polish cloth with every order. Please follow the instructions to care for your mirror.

  • Dusting: Dust only with a clean, soft microfiber cloth or chamois, wiping gently.  We recommend using the microfilament polish cloth included in your order.

  • DO NOT USE Window cleaning fluids (such as Windex), products containing alcohol, ammonia, acetone, lactic acid, carbon tetrachloride, scouring compounds, any other chemical spray. Using these products will permanently damage the acrylic.

  • DO NOT USE a paper towel, cotton towel or any gritty cloth to clean or wipe down the products. We recommend using the microfilament polish cloth included in your order.

This Purchase Agreement and our Site may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of Wilson and Wilson is not responsible for the products or contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Wilson is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Wilson of the site, its products, or any association with its operators. 

Wilson makes no warranties, express or implied, regarding the conditions of merchantability or fitness for particular purpose of any product offered on the Linked Sites. Wilson makes no representations about the functionality, accuracy, availability, quality, completeness, validity or non-infringement of third-party rights of any product on the Linked Sites. Wilson will not have any liability or responsibility to any person or legal entity regarding the functionality, accuracy, availability, quality, completeness, validity or non-infringement of third-party rights of any product in the Linked Sites.

Force Majeure

Wilson shall be free from any liability for delay or failure in shipment arising from strikes, lockouts, labor troubles of any kind, accidents, perils of the sea, fire, earthquake, pandemic, civil commotion, terrorist acts, war or consequences of war, government acts, restrictions or requisitions, failure of manufacturers or suppliers to deliver, bankruptcy or insolvency of manufacturers or suppliers, suspension of shipping facilities, act or default of carrier or any other contingency of whatsoever nature beyond Wilson’s control affecting production, transportation to boarding point, loading, forwarding or unloading at destination of the Goods, including disturbances existing on the date of the order acknowledgment. In such a situation, if shipment or delivery is not made during the period contracted for, Buyer shall accept delivery under the order acknowledgment when shipment is made; provided, however, Buyer shall not be obligated to accept delivery if shipment is not made within a reasonable time after the cessation of the aforementioned impediments or causes. 

Assignment

Buyer may not assign its right or delegate its performance under this Purchase Agreement without the prior written consent of Wilson and any attempted assignment or delegation without such consent will be void. An assignment would change the duty imposed by this Purchase Agreement, would increase the burden or risk involved and would impair the chance of obtaining performance or payment.

Proposition 65

Proposition 65, better known as the Safe Drinking Water and Toxic Enforcement Act, was established in 1986 and requires warning labels to be placed on products sold in California that have been identified as causing cancer and reproductive toxicity. Initially created to keep California drinking water safe, the law today affects many different industries and encompasses more than 900 different chemicals found in everyday household items such as cosmetics, clothes, cars, jewelry, or furniture.

Since Wilson falls under that umbrella and distributes nationwide, all of our products contain a warning label indicating the possibility of having one of hundreds of items listed in Prop 65 with the following message: 

WARNING: This product can expose you to chemicals, including wood dust, which is known to the State of California to cause cancer or birth defects or other reproductive harm. For more information, go to www.P65Warnings.ca.gov/furniture.

Arbitration 

IN THE EVENT THE PARTIES ARE NOT ABLE TO RESOLVE ANY DISPUTE BETWEEN THEM ARISING OUT OF OR CONCERNING THIS PURCHASE AGREEMENT, OR ANY PROVISIONS HEREOF, WHETHER IN CONTRACT, TORT, OR OTHERWISE AT LAW OR IN EQUITY FOR DAMAGES OR ANY OTHER RELIEF, THEN SUCH DISPUTE SHALL BE RESOLVED ONLY BY FINAL AND BINDING ARBITRATION PURSUANT TO THE FEDERAL ARBITRATION ACT, CONDUCTED BY A SINGLE NEUTRAL ARBITRATOR AND ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION, OR A SIMILAR ARBITRATION SERVICE SELECTED BY THE PARTIES, IN LOS ANGELES, CALIFORNIA. THE ARBITRATOR'S AWARD SHALL BE FINAL, AND JUDGMENT MAY BE ENTERED UPON IT IN ANY COURT HAVING JURISDICTION. IN THE EVENT THAT ANY LEGAL OR EQUITABLE ACTION, PROCEEDING OR ARBITRATION ARISES OUT OF OR CONCERNS THIS PURCHASE AGREEMENT, THE PREVAILING PARTY SHALL BE ENTITLED TO RECOVER ITS COSTS AND REASONABLE ATTORNEY'S FEES. THE PARTIES AGREE TO ARBITRATE ALL DISPUTES AND CLAIMS IN REGARD TO THIS PURCHASE AGREEMENT OR ANY DISPUTES ARISING AS A RESULT OF THIS PURCHASE AGREEMENT, WHETHER DIRECTLY OR INDIRECTLY, INCLUDING TORT CLAIMS THAT ARE A RESULT OF THIS PURCHASE AGREEMENT. THE PARTIES AGREE THAT THE FEDERAL ARBITRATION ACT GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS PROVISION. THE ENTIRE DISPUTE, INCLUDING THE SCOPE AND ENFORCEABILITY OF THIS ARBITRATION PROVISION SHALL BE DETERMINED BY THE ARBITRATOR. THIS ARBITRATION PROVISION SHALL SURVIVE THE TERMINATION OF THIS PURCHASE AGREEMENT. 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM AGAINST WILSON MUST BE COMMENCED BY FILING A DEMAND FOR ARBITRATION WITHIN ONE (1) YEAR AFTER THE DATE THE PARTY ASSERTING THE CLAIM FIRST KNOWS OR REASONABLY SHOULD KNOW OF THE ACT, OMISSION, OR DEFAULT GIVING RISE TO THE CLAIM; AND THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT TIME PERIOD.

Class Action/Jury Trial Waiver 

Any arbitration under this Purchase Agreement will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACHS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Wilson agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. You agree that, by entering into this Purchase Agreement, you and Wilson are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.

No Third-Party Beneficiary. 

This Agreement is made and intended to be for the benefit of Customer and Wilson only and is not intended to be for the benefit of anyone else.

Merger

This Agreement, together with the Terms and Conditions and Privacy Policy and any other documents specifically referenced herein, sets forth the full agreement among the Customer and Wilson. All prior agreements, verbal or written, and understandings are terminated and of no further force or effect.

Governing Law

This Agreement is to be governed by and construed in accordance with the laws of the State of California applicable to contracts made and to be performed wholly within such State, and without regard to the conflicts of laws principles thereof. 

Venue

Venue in any cause of action, including arbitration, accruing hereunder shall be in Los Angeles, California. This venue clause is a mandatory venue clause. It is not a permissive venue clause.

Amendments

This Agreement may only be amended or modified by a written amendment executed by Customer and Wilson.

Severability

In the event any provision of this Agreement should be determined by a court of competent jurisdiction as unenforceable or void under applicable law, that provision shall be deleted; but the remaining provisions of this Agreement shall remain in full force and effect.
